A company is regulated by the Corporations Act 2001 and must comply with the standards the Corporations Act stipulates. It can operate as either a private company or a public company. A private company (proprietary company; Pty Ltd.) is where the shares are held privately, usually by a single shareholder or a small group. If the directors wish that the shares in the company be traded publicly it can be listed as a public company in which case it must be floated on a stock exchange.

David sets up his restaurant as private company where Tom and David each own 50% of the shares. Tom and David both control how the restaurant is operated however the assets and liabilities are owned in the company’s name and any income and expenses that the restaurant incurs are accrued to the company not Tom and David.
